Terms of Service

Effective July 9, 2026. These Terms state the conditions for using Codaegis, a service operated by Palisade Technologies LLC, doing business as Codaegis. Before a paid subscription begins, Checkout presents the material monthly terms and requires your acceptance.

Service boundaryDecision support only

Codaegis does not merge, deploy, approve, certify, enforce, warrant, or replace human judgment.

Service scope

  • For the first paid subscription, Codaegis provides governed packets for admitted GitHub pull-request reviews.
  • One PR review check means one completed Codaegis governed run on one GitHub pull request in the admitted pull_request_review work family.
  • The run produces one governed packet or one explicit unable-to-evaluate packet.
  • PR review is the first paid work family, not the permanent boundary of Codaegis.
  • The paid service is initially offered for professional, commercial, or organizational use in the United States by adults age 18 or older, including individual developers.

Customer duties

  • Keep account and GitHub authorization information accurate.
  • Ensure you have rights to connect selected repositories and submit workflow data.
  • Review packet outputs before relying on them.
  • Make your own merge, deploy, legal, security, compliance, and operational decisions.
  • Store packet copies you need beyond Codaegis retention limits.
  • Do not misuse the service, bypass limits or security controls, submit content you lack authority to use, interfere with other users, or use Codaegis unlawfully.

Subscription, renewal, and tax

  • PR Review Starter costs USD $99 per month plus applicable tax and includes 25 PR-review checks each month, one active repo, 30-day history, and JSON and Markdown export.
  • Starter automatically renews each month at $99 plus applicable tax until you cancel. By purchasing, you authorize Stripe to charge the saved payment method for each monthly renewal.
  • The minimum purchase obligation is one month. No public trial, promotional period, or longer minimum term is included unless Checkout expressly states otherwise.
  • Auto top-up is disabled for launch. Starter does not authorize extra automatic spend.
  • If included checks are exhausted, Codaegis stops before another paid run until the next monthly allowance or a later plan change.
  • Stripe handles payment collection. Codaegis does not receive or store full card details.
  • You are responsible for applicable taxes unless law requires Codaegis to collect them. Tax-exempt treatment requires acceptable documentation.

Cancellation and refunds

  • Cancel online at any time from Workspace Billing through Stripe Customer Portal, or email support@codaegis.com if the portal is unavailable.
  • Cancellation stops future renewals and normally takes effect at the end of the current paid month. Paid access continues through that date while the account remains in good standing.
  • Refunds are considered case by case. There is no automatic prorated refund or first-month guarantee, except where law requires a refund.

Customer content and packet use

  • You retain ownership of code, repository content, and other material you submit.
  • You grant Codaegis and its service providers a limited license to host, process, transmit, and reproduce that material only as needed to provide, secure, support, and legally operate the service.
  • You may use and export governed packets for your own lawful internal or commercial work, subject to third-party rights and these Terms.
  • Codaegis retains ownership of the service, software, documentation, designs, and methods. No ownership of Codaegis technology transfers to you.

Availability, suspension, and third parties

  • Codaegis may change, pause, or discontinue features and may suspend access for nonpayment, misuse, security risk, legal requirements, or violation of these Terms.
  • GitHub, Stripe, OpenAI, and other providers operate under their own terms and may affect availability.
  • Public API, SDK, CLI, adapters, autonomous writeback, Team, and non-PR paid work are not included in Starter unless Codaegis expressly adds them.

Warranty disclaimer

  • To the fullest extent permitted by law, Codaegis is provided as is and as available, without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.
  • Codaegis does not guarantee code safety, security, correctness, compliance, deployability, merge readiness, or approval.
  • You remain responsible for reviewing every packet and for all merge, deploy, security, legal, compliance, and operational decisions.

Limitation of liability

  • To the fullest extent permitted by law, Codaegis and Palisade Technologies LLC are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption.
  • To the fullest extent permitted by law, total liability arising from Codaegis will not exceed the amount you paid for the service during the twelve months before the event giving rise to the claim.
  • These limits do not apply where applicable law does not allow them.

Governing law and disputes

  • New Mexico law governs these Terms, without regard to conflict-of-law rules, except that mandatory law in your location still applies.
  • Claims may be brought in a state or federal court of competent jurisdiction in New Mexico, unless applicable law gives you another required venue or small-claims right.
  • These Terms do not require arbitration and do not waive rights that applicable law makes non-waivable.

Changes and contact

  • Material subscription changes will be provided in a form you can retain, with cancellation instructions and the advance notice required by law.
  • If any provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver.
